what are the process involved in upgrading the same
If you're trying to upgrade from Backup Exec to NBU DLO, for example BE 2010 R3 to DLO MP7, the upgrade process is fairly straight forward.
While performing the installation, the installer will ask you for which database to use. Here, you should choose the existing or local database. If existing is chosen, there will be dependency on the backup exec. If Local is chosen, DLO will install its own SQL server yet will copy DB files from the BE DLO database. Choosing local database will keep the DLO setup independent.
