Physical to Virtual Windows 2003 Recovery

Question

Windows Server 2003 which was running on physical machine crashed, we have built a virtual machine.

What are the pros and cons involved in restoring physical machine backup to virtual machine.

Files or Folders need to be excluded while restoring.

I have installed netbackup client on virtual machine
