UPgrading from BE12 to BE2010R3
1) Stop SQL server BKUPEXEC service and make a copy of DATA & CATALOGS folder.
Above folders at located at X:\Program Files\Symantec\Backup Exec\
2) Download and extract or burn 2010 R3 ISO.
3) Run the installation of R3, the database will get upgraded from BE12 to R3.
4) After installation run Live Update and install all the latest hotfixes.
5) Update all the remote agents.
Lincensing
1) You need a Agent for Exchange license, if you want to perform granular restore of AD then you need
agent for AD.
Note: To backup exchange 2010 you need to install BE2010 R3 on a 64bit server.

Note that ADRA is only needed if you need to restore individual AD objects. BE can backup and restore AD as a whole without the need for ADRA.

...and to answer your last point, you can use Backup Exec's DLO option. You get 5 licenses free with your media server, and anything additional needs licenses purchased, usually in packs. This allows backups of user workstations on a LAN, across a WAN or a VPN connection.
