Just an add-on. If you have an active support contract, you would be eligible for a free upgrade & could receive the license keys for the new version @ no extra cost from the Licensing dept.
Yes you would need a licnese .Backup exec 12 and 12.5 are two different version . so the license for version 12 would not work in version 12.5 . You would need to get your license upgrade by calling the licensing dept .
