Hi Sardesh,
Looks like SF 50MP3 is not configured during install. Try vxinstall command
and say yes to reconfigure, and respond to 3 questions. It should work after.
Just for info, is rootdisk under SDS control and mirrored? If so there are some known
issues if the root mirror is not fully synced, it loads old kernel and uses new binary.
Verify the same and update us.

Maybe give us a bit more info on steps taken during uninstall and new install?
Was the boot-disk encapsulated under 3.5? Did you unencapsulate before uninstalling?
When you installed 5.0MP3 - did you complete the configuration steps at the end?
Please find the installation log and post as an attachment.
If you have used 'installer' the log file will be under /opt/VRTS/install/logs/installer-xxxxxx
Which O/S version on your server?

This is solaris 9 box. Boot disk is not under veritas control.
Steps to uninstall vxvm 3.5
1) vxdctl stop , vxiod -f set 0
2)Uninstall VRTS packages excpet VRTSvlic
3)install VxVM 5.0MP3 through installer
4)after installation while system was coming up I got the above error.
At single user mode I was able to start the vxconfigd -k (daemon) and start all the volumes ...

Just have a check for install-db file under /etc/vx/reconfig.d/state.d ?
If the file is there, remove it & restart your box...
Also, what does pkgchk shows on VRTSvxvm ?
# pkgchk VRTSvxvm
