Upgrading the OS should not have any effect because both the old and new OS'es are supported. However, it is not recommended to use a VM for the media server. A lot of configurations involving virtualized media server are not supported, especially if they involve accessing real devices. You should continue to use a physical machine for your media server

    Refer http://www.symantec.com/business/support/index?page=content&id=TECH67768

Do not follow this procedure if any of the following are true:

    • Backup Exec is clustered.
    • The Backup Exec Shared Storage Option (SSO) is installed.
    • The Backup Exec Server Free Option is installed.
    • The computer where Backup Exec is installed and the computer where it will be installed are running two different versions of the Windows Operating System.
    • If planning to move Backup Exec to a different drive/directory on the server.
    • If upgrading from one version/revision (build) of Backup Exec to another.
NOTE:  If any of the above mentioned conditions are true, this procedure cannot be performed and Backup Exec will need to be re-installed and re-configured.

Regarding the best practice we recommend BE on a physical server.
