How to backup and do full restore on a Windows 2003 server?

I need to convert this to a virtual machine however it was built with a OEM server 2003 original key number. Long gone of course. The cloning, creating image etc. are all looking for that OEM key. I'm thinking I could do a full back up of Backup Exec, build another 2003 box with volume licensing on the VM server and then do a restore. Can I accomplish that with BE 2010 R3 and will programs that were installed be 100% ok.

Haven't done this since the year 2000 so I'm not sure how to do this anymore.

I doubt you can do it.  You can't use BE to clone a machine.  When you restore the system state, your new server will become your old server with the same machine name etc because restoring the system state restores the registry.  Also, you may have problems with incompatible drivers.  On the other hand, if you don't restore the system state, then your applications will not work as their registry information will be missing.
