event 57802, object 14, error 13 after upgrading 10.1

I recently tried to upgrade to BE 10.1.
After succesful upgrade anything seemed to be fine.
But aftre a restart, I found that BE server service and job service didn't start.

in the application log I found "event 57802, category 65535"
At object 14 an internal error (13) ocurred

I tried the knowledge base with changing permissions via DCOMCNFG, but no success

Win2003 SP1, BE 10.1, SQL-Agent and Exhcnag-agent installed

Can someone help me ?

I already tried to (re-)register this dll. It didn't help. Instead i found some mismatches with the component checker for MDAC 2.8.

But I can't re-install this component on my Windows 2003 SP1. The MDAC-Packages complains that it cannot be installed on Windows 2003 Server

Re-applying SP1 didn't solve the problem either.
is there any other way ?
