BU Exec 2010 R2 to R3 upgrade error

So, I have a Server 2003 running BU Exec R2 and I'm upgrading to R3.  I keep getting a

backup exec 2010 r3 the install failed with an unexpected error: object reference not set to an instance of an object

error.  I'm trying to check my .net 2.0 install but it fails with an error referencing a conflict with a previously installed version.

At present, I have removed BU Exec, cleaned the registry and rebooted.  Nothing remains of the BU Exec 2010 R2 install. I still get the same error.

Did you either mount the BE 2010 R3 installation DVD locally on the media server?  If you are using a network share for your DVD, mount it locally.

The other thing to try is to download the installation DVD again and then use an ISO tool to extract files from the ISO image.  This is to ensure that the installtion DVD is not corrupted.

It's a DVD loaded in the local drive.  you're thinking corrupt media?

See if you can copy all the files off the DVD.  If you can, this will rule out corruption.
