Exchange 2007 backups, VSS issues

We have been unsuccessful at getting backups of Exchange 2007 with BE12 or any version prior for that matter.  I keep getting the following error message in the Backup Exec log when trying to run an Exchange Backup.

V-79-32772-8966

Also getting this in the Event Viewer on Exchange Server
Event ID 12289
Volume Shadow Copy Service error: Unexpected error DeviceIoControl(\\?\Volume{97fabe36-f400-11db-ac0b-806e6f6e6963} - 0000000000000170,0x0053c00c,000000000035E630,0,000000000035F640,4096,[0]). hr = 0x80070057.
and
Event ID 12310
Volume Shadow Copy Service error: The shadow copy could not be committed - operation timed out. Error context: DeviceIoControl(\\?\Volume{3c17e37e-c756-11db-8b6f-000c29314dc4} - 0000000000000168,0x0053c010,000000000035C610,0,000000000035D620,4096,[0]).
 
More Details:
- Running VMWare, Exchange SP1, Windows Server 2003 SP2, Installed various vss hotfixes
- Made sure all permissions were set for backup account (Full admin rights, org rights), mailbox not hidden, active mailbox.
- Set backup job for Exchange only with new selections from previous versions.  In fact, we are just trying to backup public folders unsuccessfully.
- Checked VSS writers after backup.  In failed state so rebooted server many times and still no luck
 
I have searched the newsgroups, but nothing has worked for us so far.  Please help, this has gone on way to long and we need to get an Exchange backup.  We are almost ready to switch products after all this, but have been loyal BE customers for almost 10 years.  Also we are not sure if we would run into the same problems with other vendors so we haven't given up yet.

Do you have the Exchange management tools and Exchange SP1 installed on the Backup server?
