SAN Backup and Moving BE to new Backupserver

I'm faced with a challenging situation.

First of using BE for Windows 11.0 rev 6235 on a Windows 2003 server.
BE is using MS SQL 2005 Express Edition for its db.

Due to hardware problems on this box I need to move the BE install
to a new server while retaining all the jobs, db and config options.
The new backupserver can be set to use the same name and ip address
as this old backupserver.
I'm not sure how to get this done. An alternative may be to upgrade/migrate to BE 12, as I have licenses for that as well.
Any ideas from the pros out there?

My second problem is that we're backing our main file server over ethernet
with a BE Agent installed on the file server. Due to the amount of data on the FS this takes way to long, and I'm thinking of having the backup go directly over the SAN instead over ethernet to get higher performance.
Where to begin, am I facing having the whole BE installed on the FS or can I get by with just an agent? I need all the db stuff for BE to be in one place though, I don't want it separated.
What's your thoughts on this?

BTW: The FS is a Windows 2003 R2 server.
