This was a 10D w/ MSDE install that was upgrade to 11D last week per this forum thread
When I attempted to run the 2010 install/upgrade the 1st time it errored out at the SQL 2005 install with this in the install log
V-225-53: ERROR: Failed to install SQL Express BKUPEXEC instance with error 29552. ***To search for information about this error, click here
07-19-2010,17:53:02 : Please review C:\Program Files\Microsoft SQL Server\90\Setup Bootstrap\LOG\Summary.txt for more details.
I performed the steps in the below article (deleted registry keys, removed the MSSQL$BKUPEXEC directory), then restarted the install and it was able to install SQL 2005 and get to the installing Backup Exec portion
during the BE 2010 install portion I recieve this alert, but click yes to continue
The install gets to near completion per the images below, then the same BEDB error pops up.

Before you perform any troubleshooting, I would suggest you to stop all Backup Exec services and SQL service and make a copy of the DATA, DATABACKUP and the CATALOGS folders to different location.
What is the version of SQL on which your BE 11d installation is running??
Check the following technote:
http://www.symantec.com/docs/TECH68954 : Upgrading Backup Exec fails to upgrade the named MSDE Instance of Backup Exec to SQL Express with "Failed to install SQL Express BKUPEXEC instance error 29552
http://www.symantec.com/docs/TECH70004 : Upgrade from Backup Exec for Windows Servers 10d to Backup Exec 11d or above fails because the MSDE upgrade to SQL Express fails (Error 29552)

the forum wouldn't let me type any more, continued:
if I click 'yes' to continue, the install starts to roll back until it gets to the 'view install log" screen. The install log shows that last BEDB error at 12:35, shows copying new files at 12:37, but shows no errors when it begings to roll back @ 12:56

Would you like to continue with the remove process?

If I restore the registry keys I deleted and the MSSQL$BKUPEXEC directory I'm able to run the 11d install.
How can I get the 2010 upgrade to complete?
Thanks in advance.

Thanks for the response! currently the database (on 11d) is MSDE.
I found that dotnet article, but since I was seeing the exact error referenced in the "delete SQL" article I decided to go that route.
I'm going to attempt to repair or uninstall Dotnet 2.0, afterwards would you recommend I attempt a straight upgrade from 11d to 2010 or should I delete the MSDE database again before running the upgrade?

Since your BE 11d is using MSDE , this could be the reason why the upgrade is failing. Because ideally BE 11d uses the SQL Express 2005 instance for the database. So first you will have to upgrade your SQL.
Here are the steps how you can perform it.
1) From Microsoft website download SQL Express 2005. If you have the BE 11d Installable Media then you can use the SQL Express 2005 installation files from that too.
2) Install the SQL Express 2005 and named the instance something like BACKUPEXEC
3) Go to C:\Program Files\Symantec\Backup Exec and run the BeUtility.exe
4) Click on All Media server and then on the right side Right click on your server name
5) Select the option New Backup Exec Database location
6) A small window will open which will allow you to select the name of the new SQL Instance. It will be in the format servername\BACKUPEXEC
7) Click OK and let that process be successful.
8) Now you can try to upgrade from BE 11d to BE 2010
Let me know if you face any issue.

the 2nd article (copy the DLL, repair BE 11d) worked!
