Questions about Backup Exec and Continuous Protection

Hello,
We just purchased a Dell Powervault NAS appliance and it came with Backupexec 12D and also another disc called backup exec continuous protection.

Whats the difference betwen the 2?
My layout is 2 physcial servers with a exchange vm on one and a server 2008standard vm on the other one.
The physical boxes are my DC's.  I just need backupeexec to backup my data to the NAS say every night and not cause issues with exchange.

To answer your question what is the difference between the 2, CPS is a replication product and Backup Exec is a Backup Solution.  CPS is used to replicate files and folder, where Backup Exec is used to protect an entire server.
